Terms of Service

These Terms are a binding agreement between you and [Registered business name] (trade licence [Trade licence number], TIN [TIN]), operating as “ClosiPass”, “we” or “us”. By submitting a request you confirm that you have read and accepted these Terms, the Privacy Policy and the Refund Policy. If you do not agree, do not use ClosiPass.
1. Who can use ClosiPass
You must be at least 18 years old, be legally able to enter a contract, and use ClosiPass only for yourself or for a person or organisation that has authorised you to act for them. You must give accurate and complete information.
2. What ClosiPass does, and what it does not
ClosiPass is a procurement service. You ask us to buy or pay for a legitimate international service (for example a subscription, test or application fee). We quote a price in Ethiopian Birr (ETB), you pay us in ETB, and we pay the international provider on your behalf as your agent. ClosiPass is not a bank, does not accept deposits, does not sell or exchange foreign currency to you, and does not send money to individuals. We never give you foreign currency or cash.
We are not the provider of the underlying service. The provider's own terms, prices, availability and policies apply to what you buy, and we do not control them.
3. How an order works
Submitting a request is an offer to buy, not a confirmed order. We may review, accept, change or decline any request. A request becomes an order only when we send you a quote and we receive your full payment for it.
4. Quotes, prices and exchange rates
Any amount shown on the website before you submit a request is an estimate only. The binding price is the ETB amount in your quote, which includes the international cost, our service fee, and the exchange rate we set at the time. A quote is valid for 7 days. After that, or if the provider changes its price, we may issue a new quote and you are not obliged to accept it. Exchange rates and provider prices can move; paying after a quote expires does not lock the old price.
5. Paying us
Pay only to the accounts shown on your order page on this website, using your order reference as the payment note. We will never ask you to pay to a personal account sent through a chat message, call or social media. Payments sent to any other account are not our responsibility. Payment is complete only when we have received and confirmed the full quoted amount. Partial payments, overpayments, and payments without a valid reference may be held while we match them; if we cannot match a payment within 14 days we will contact you and return it, less any bank or mobile-money charges.
6. Accepted and prohibited requests
We may refuse or cancel any request at our sole discretion, including where we cannot complete it, where the provider declines it, or where we suspect a breach of law or of these Terms. You must not use ClosiPass for anything that is unlawful in Ethiopia or in the provider's country, or that breaches international sanctions. In particular you must not request payments for: gambling or betting; adult content; weapons or drugs; cryptocurrency, trading or investment products; money transfers or remittances to individuals; pyramid schemes; stolen or resold credentials, gift cards or vouchers; or anything intended to evade exchange-control, tax or licensing rules.
7. Checks we may carry out
To meet legal obligations and protect against fraud, we may ask for identification, proof of the source of funds, or the reason for a payment, and may delay, hold, reject or cancel an order until we are satisfied. We may share information with the authorities where the law requires it. We are not liable for delay or refusal arising from such checks.
8. Your responsibilities
You are responsible for the accuracy of the provider name, links, invoice, amount, currency, account or recipient details and for the suitability of what you buy for your needs, including whether it is available to you and whether you are eligible for it. We pay exactly what you and your invoice tell us to. If you give wrong details, we are not responsible for the loss, but we will make reasonable efforts to help you recover it, and may charge for our costs.
9. Completion, delays and provider problems
Time estimates are estimates, not guarantees. Delays can arise from banks, mobile-money and payment networks, providers and public holidays. Once we have paid the provider and received confirmation, the order is complete. Problems with the service itself (quality, access, cancellation, refunds, chargebacks, account bans, price or plan changes) must be resolved with the provider; we will give reasonable help but do not guarantee any result.
10. Fees and refunds
Refunds are governed by our Refund Policy, which forms part of these Terms.
11. Limits on our liability
To the fullest extent the law allows: (a) we are not liable for loss caused by a provider, a bank, a payment or telecom network, the government, or events outside our reasonable control, including changes in law, sanctions, currency controls, power or internet failure; (b) we are not liable for indirect or consequential loss, or for loss of profit, business, opportunity or data; and (c) our total liability to you for any order is limited to the service fee ClosiPass received for the affected order. Nothing in these Terms limits liability that cannot lawfully be limited, such as for our own fraud or deliberate wrongdoing.
12. You protect us
You agree to compensate us for any loss, claim, fine or cost (including reasonable legal fees) that we suffer because you gave false information, used ClosiPass for an unlawful or prohibited purpose, or otherwise broke these Terms.
13. Suspending or ending access
We may refuse service to, or stop dealing with, anyone at any time, including by cancelling unpaid or unfinished orders. Sections that by their nature should continue (payment, liability, indemnity, governing law) continue after your use ends.
14. Records and communication
You agree that we may keep electronic records of your requests, acceptance of these Terms and our communications, and that these records are valid evidence. We contact you by the email address and phone number you provide, so keep them current. You can opt out of marketing at any time without affecting order updates.
15. Changes
We may update these Terms. The version that applied when you submitted your request governs that order. Continuing to use ClosiPass after an update means you accept the new version for future orders.
16. Governing law and disputes
These Terms are governed by the laws of Canada. Please contact us first at support@closipass.com and give us a reasonable chance to resolve a complaint. If we cannot resolve it, the dispute is subject to the exclusive jurisdiction of the competent courts of Canada. If any part of these Terms is found invalid, the rest remains in force. These Terms, with the Privacy and Refund Policies, are the whole agreement between us. If this page is translated, the English version prevails.
